By signing up for a BettaMall Account or by using any BettaMall Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms of Service”).
The Terms and Conditions described herein constitute a legal agreement (“Agreement”) between you (if your business is a sole proprietorship) or your business (if you are signing up on behalf of a corporation or other legal entity) (the “Merchant”,”User”, “you” or “your”) and BETAMALL INC., organized under the laws of Canada, with offices at 42 L’Amoreaux Dr, Toronto, Ontario, M1W 2L9 (“BettaMall”, “we”, “us”, or “our”).
We may amend this user agreement and any of the policies listed above from time to time. The revised version will be effective at the time we post it on our website, unless otherwise noted. If our changes reduce your rights or increase your responsibilities we will post a notice on our website and provide you with at least 14 days notice (để ý mốc thời gian này nhé). All future changes set out already published on the Terms of Service page at the time you register for the Betamall services are incorporated by reference into this user agreement and will take effect as specified in the Terms of Service. By continuing to use our services after any changes to this user agreement or any of the other applicable terms, agreements, or policies listed above, you agree to abide and be bound by those changes.
If you do not agree to the revised terms and conditions, you must stop using the BettaMall services, close your account and terminate your relationship with us without cost or penalty. This user agreement will continue to apply to your previous use of our services.
Please read carefully all of the terms and conditions of this user agreement, the terms of these policies and each of the other agreements that apply to you.
I. Description of services
A.BettaMall core service features and functionality
BettaMall operates as an online marketplace that enables users to offer, sell, and purchase goods and services across various geographic locations and pricing formats. BettaMall is not a party to any contract for the sale of goods or services between third-party sellers and buyers, nor does BettaMall act as a traditional auctioneer.
Any guidance, recommendations, or tools that BettaMall provides as part of its Services, including those related to pricing, shipping, listing, or sourcing, are offered solely for informational purposes. You may choose whether or not to act upon such information at your discretion.
BettaMall may, at its discretion, facilitate the resolution of disputes between buyers and sellers through various programs. Unless expressly stated otherwise, BettaMall does not control, endorse, or guarantee:
● the existence, quality, safety, or legality of any items listed;
● the accuracy or truthfulness of user-generated content or listings;
● the ability of sellers to sell items or fulfill transactions;
● the ability of buyers to pay for items; or
● that any transaction or return will be successfully completed.
B.Technical requirements and compatibility
To use BettaMall’s website, products, or services, you may need compatible hardware, software, and a stable internet connection. BettaMall does not guarantee that our services will function on all devices, operating systems, or browsers. You are responsible for ensuring that your devices and software meet the minimum requirements to access and use our services.
C. Service availability and maintenance windows
BettaMall strives to provide continuous access to our website and services but cannot guarantee uninterrupted availability. We may schedule maintenance, updates, or upgrades at our discretion, which may result in temporary service interruptions. BettaMall will make reasonable efforts to notify users of planned maintenance when feasible
D. Geographic restrictions or limitations
BettaMall’s services may not be available in all countries or regions. By accessing or using our services, you confirm that you are located in a jurisdiction where BettaMall is permitted to operate and that you comply with all local laws and regulations. BettaMall reserves the right to restrict or limit access to our services in certain locations without prior notice.
E.Integration capabilities and third-party service terms
BettaMall may offer integrations with third-party services, apps, or APIs to enhance functionality. Your use of these third-party services is subject to their own terms, privacy policies, and fees. BettaMall is not responsible for the performance, availability, or actions of third-party services and makes no warranties regarding their reliability or compatibility.
II. User eligibility and responsibilities
A.Account security and password protection
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. BettaMall shall not be liable for any loss or damage arising from your failure to safeguard your Account information. BettaMall may, at any time, require additional security measures or modify existing security protocols at its discretion.
B.Provision of accurate information
● To access and use the services, you are required to create a BettaMall account (“Account”). During registration, you must provide accurate and complete information, including your full legal name, business address, phone number, valid email address, and any other details marked as mandatory.
● By registering for an Account, you confirm that you are using BettaMall’s Services solely for business or commercial purposes and not for any personal, household, or family use.
● You acknowledge that the email address provided during Account registration, or any subsequently updated address, will serve as your primary channel of communication with BettaMall (“Primary Email Address”). You must ensure that this email account is active and capable of both sending and receiving messages. BettaMall will only recognize and authenticate communications originating from your Primary Email Address.
C. Acceptable use policies
1.Age Requirement
You must be at least (i) 18 years old, or (ii) the age of majority in the jurisdiction in which you reside and use the Services, whichever is greater, to open an Account.
2.Regulatory Compliance
You must obtain and maintain all necessary permissions, approvals, authorizations, certifications, and licenses required to offer, promote, sell, or otherwise make your products available on the BettaMall platform.
3.Compliance with Applicable Laws
You may not use BettaMall to engage in any activity that is illegal or prohibited in the jurisdiction(s) where you conduct business.
You and your products must comply with all applicable laws, regulations, rules, and requirements of relevant governmental authorities, as well as applicable industry standards (“Applicable Laws”). These include, without limitation, laws relating to privacy and data protection, export controls and economic sanctions, product safety and compliance, consumer protection, truthful advertising, anti-slavery, and the prohibition of child, forced, or prison labor.
While BettaMall recognizes that legal and regulatory frameworks can be complex, by choosing to enter a specific market and offer particular products or services, you—the merchant—acknowledge your responsibility to understand and comply with all Applicable Laws.
You are also required to respect that certain business activities and product categories are not supported or permitted on the BettaMall platform.
BettaMall reserves the right to review, suspend, or terminate any account or listing that violates Applicable Laws, these Terms, or that BettaMall, in its sole discretion, determines may expose the platform or its users to risk or liability.
4.Prohibited Products and Intellectual Property
You must not offer, promote, sell, or otherwise make available any goods or services on BettaMall or through its Commerce Products that are illegal, counterfeit, or that infringe any third party’s intellectual property rights under Applicable Laws.
D. Content guidelines and restrictions
1.Content Compliance
All content you provide (“Your Content”) must fully comply with Applicable Laws, including advertising regulations, standards, and codes of practice issued by competent authorities in each jurisdiction where your products are offered or sold
2.Product Listing Requirements
Your product listings must clearly display all legally required terms and conditions under Applicable Laws, ensuring such information is available to buyers prior to the completion of any sale.
When selling products through BettaMall, you must ensure that your listings do not include any prohibited or restricted product types. Prohibited product types on BettaMall include, but are not limited to, the following examples:
● Age-restricted products such as alcohol, tobacco, and gambling-related items;
● Cannabis and cannabis-derived products;
● Illegal drugs and drug-related paraphernalia;
● Prescription medication, medical devices, and related accessories;
● Weapons, ammunition, explosives, or any combat-related equipment;
● Hazardous, flammable, or otherwise non-shippable materials;
● Human body parts or bodily fluids;
● Mature or adult content, services, or products containing nudity;
● Endangered species or products derived from animal abuse;
● Digital currencies, securities, and other investment-related products;
● Products that promote or contain hateful, violent, gory, profane, or otherwise offensive content.
BettaMall reserves the right, at its sole discretion, to determine whether a product violates these restrictions and to remove any prohibited listings or take appropriate action, including account suspension or termination.
3.Order Fulfillment and Shipping
You are solely responsible for processing and fulfilling orders, including product packaging and shipment, and must comply at all times with the BettaMall Shipping Policy.
4.Cancellations, Returns, and Refunds
You must comply with all Applicable Laws governing buyers’ rights in relation to cancellations, returns, and refunds, as well as the BettaMall Order Cancellation, Return and Refund Guidelines, and the BettaMall After-Sale Dispute Escalation Guidelines.
5.Use of BettaMall Data
● As part of your use of the Commerce Products, you agree to handle any data (including personal data) made available to you by BettaMall or received from BettaMall or its users (“BettaMall Data”) -for example, data collected when users interact with your products or communicate with you directly -in accordance with:
● these Seller Terms,
● your own Privacy Policy and any other applicable privacy notices, and
● all applicable data protection laws, regulations, and guidelines.
You further agree that:
● You shall use BettaMall Data solely for the limited purpose of processing and fulfilling buyer orders, and where necessary, handling refunds, returns, cancellations, inquiries, complaints, disputes, or claims related to such orders.
● You shall not use BettaMall Data for any other purpose, including but not limited to:
○ selling, trading, or otherwise commercializing BettaMall Data;
○ using BettaMall Data to send marketing or promotional messages of any kind to customers by email or other direct communication methods, unless the customer has provided prior consent in compliance with Applicable Law; or
○ transferring BettaMall Data outside your jurisdiction without BettaMall’s prior written consent.
● You shall not sell, share, or disclose any data relating to BettaMall’s customers to third parties unless you have obtained explicit authorization from those customers to do so.
● You shall implement and maintain all appropriate technical and organizational measures required under applicable data protection laws to safeguard BettaMall Data.
● You shall not, directly or indirectly:
○ post, use, or permit on BettaMall any product reviews, testimonials, or endorsements (“Customer Reviews”) unless you possess verifiable documentary evidence that such Customer Reviews are authentic;
○ delete, alter, or manipulate the presentation of Customer Reviews;
○ influence user behavior in connection with Customer Reviews, including but not limited to soliciting positive feedback or requesting users to remove negative reviews; or
○ procure or post any Customer Reviews from third parties, whether for your own products or for those of another Seller.
E.Intellectual property rights
1.Use of BettaMall Trademarks and Intellectual Property
You may not use any BettaMall trademarks, logos, or service marks (registered or unregistered) -including, without limitation, BettaMall without prior written authorization from BettaMall.
You must not use or register any marks, names, domains, or identifiers that are identical or confusingly similar to the BettaMall Trademarks, including variations or misspellings.
You also agree not to purchase or use any search engine keywords, social media names, or email addresses incorporating the BettaMall Trademarks or similar terms.
These Terms do not grant you any rights to use or implement BettaMall’s patents or other intellectual property.
2.About your materials and products
You retain ownership of all materials, content, and information you provide to BettaMall (“Materials”). However, you grant BettaMall a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, use, modify, store, reproduce, distribute, display, translate, create derivative works of, and otherwise use the Materials to operate, provide, improve, and promote the Services.
You represent and warrant that you have all necessary rights and consents to grant this license and to permit BettaMall to use or process any data contained in the Materials in compliance with applicable privacy laws. You irrevocably waive any moral rights in the Materials in favor of BettaMall and its successors or licensees.
If you owned the Materials before providing them to BettaMall, they remain yours, subject to the rights and licenses granted under these Terms. Deleting your Account will not affect any licenses BettaMall requires to fulfill obligations or exercise rights arising during the Term. BettaMall may, at its discretion, review or remove any Materials submitted through the Services.
You also grant BettaMall a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use your names, trademarks, service marks, and logos (“Your Trademarks”) to operate and promote the Services. This license survives termination only as necessary for BettaMall to exercise rights or perform obligations arising during the Term.
Listings or products that infringe the intellectual property rights of others are strictly prohibited on BettaMall. Sellers must ensure that all items and listings are authentic and do not violate any intellectual property rights, including copyrights, trademarks, design rights, patents, and utility models.
Prohibited listings include, but are not limited to:
● Counterfeit or replica goods;
● Unauthorized copies or parallel imports;
● Misuse of copyrighted images or materials without the rights owner’s consent;
● Misrepresentation of brand affiliation, warranty, or origin;
● Any other use that infringes publicity or proprietary rights.
If an item or listing is found to be infringing, BettaMall may remove the listing, issue warnings, restrict account activity, or suspend or terminate the account, as permitted under applicable laws and the BettaMall User Agreement.
Sellers are responsible for obtaining legal advice if they are unsure whether an item or listing may infringe another party’s rights.
III. Pricing, payment, and termination details
A.Payment methods and processing
BettaMall may, at its sole discretion, engage third-party payment service providers (“Third-Party PSPs”) to handle payment-related functions, including collection, processing, settlement, and refunds for sales of your goods or services on BettaMall.
To receive payments, you must review and agree to the applicable terms and conditions of these Third-Party PSPs, as well as any other relevant terms for the Payment Services. BettaMall or the Third-Party PSPs may update these terms from time to time at their sole discretion.
To receive payments, you may need to complete an onboarding process with a Third-Party PSP by providing information about you and your business. You agree to give BettaMall accurate and complete information and authorize BettaMall to share it—including details about your agreements and transactions—with Third-Party PSPs to enable Payment Services. You must promptly update BettaMall if any of your information changes. BettaMall is not responsible for any losses caused by inaccurate information you provide or by any actions of Third-Party PSPs.
You acknowledge and agree that BettaMall may freeze, delay, or withhold your payments in accordance with applicable laws if you violate these Seller Terms, other BettaMall policies, or applicable Third-Party PSP agreements. BettaMall will not be liable for any resulting losses.
Payments owed to you may also be offset by any amounts you owe to BettaMall, buyers, or Third-Party PSPs, including fees, taxes, chargebacks, refunds, overpayments, payment errors, fines, undelivered goods or services, or other related losses.
If the amount you owe BettaMall exceeds the payments due to you, you authorize BettaMall to debit your Payment Account to recover the outstanding amount.
You appoint BettaMall as your authorized agent to collect payments from buyers for goods or services sold through Commerce Products. BettaMall may do so directly or via approved service providers, including Third-Party PSPs and its affiliates. Once BettaMall or its authorized providers receive payment from a buyer, it is considered received by you, and the buyer’s payment obligation is fulfilled. If such funds are not delivered to you, your sole recourse is against BettaMall, as set out in these Seller Terms.
BettaMall may terminate your Seller Center account if a Third-Party PSP declines to provide Payment Services, and you will be unable to receive related payments.
You are solely responsible for setting the prices of your products and ensuring that any promotions, discounts, or offers comply with all applicable laws. You acknowledge that BettaMall may, at its discretion, offer coupons, vouchers, or other promotions that buyers can use on your products.
B.Billing cycles, subscription terms and renewal processes
C. Currency and tax considerations
For sales to U.S. buyers, BettaMall may be required to collect and remit sales taxes under marketplace facilitator laws. BettaMall prices exclude taxes, which will be added at checkout.
Except for taxes BettaMall collects on your behalf, you are responsible for all tax obligations related to your sales, including calculation, collection, reporting, and remittance. If BettaMall is held liable for your failure to comply, you agree to indemnify BettaMall unless you have provided all necessary information in advance.
You also agree to provide all information needed for BettaMall and Third-Party PSPs to meet any tax reporting or withholding requirements related to your use of Commerce Products and Payment Services.
D. Refund and cancellation policies
All seller refund and cancellations of orders must be in accordance with our cancellation policies (link dẫn tới policy cho buyers).
If an item is returned or a transaction is canceled after payment, BettaMall may refund the buyer on your behalf and charge you for the refunded amount.
BettaMall may also charge you for return shipping labels or other reasonable fees if an item is not as described and is returned under the BettaMall Money Back Guarantee or other applicable terms.
BettaMall offers buyers protection programs, such as the BettaMall Money Back Guarantee, to ensure buyers receive their items or are refunded. If a buyer successfully claims a refund for atransaction, BettaMall will reimburse the buyer on your behalf, and you are required to reimburse BettaMall according to the applicable User Agreement.
A buyer may open a chargeback, reversal, or other payment dispute (“Dispute”) for a managed payments transaction. The buyer’s financial institution decides the final outcome.
BettaMall will notify you of a Dispute and ask whether you accept or challenge it. If you accept, the payment is reversed to the buyer. If you challenge, BettaMall will submit your evidence. You must provide timely information; failing to do so may result in forfeiture of the disputed amount.
If the Dispute is accepted or decided in favor of the buyer, BettaMall refunds the buyer and charges you, unless you are covered by Seller Protection. BettaMall may still challenge the Dispute at our discretion at no extra cost to you.
Optional arbitration may be available for some disputes. If you consent, BettaMall can represent you, and you are responsible for costs and fees, which BettaMall may pay on your behalf during arbitration.
You may not contest or reopen a dispute that BettaMall has investigated or resolved.
E.Account termination procedures
These Payments Terms of Use remain effective indefinitely unless terminated as follows.
BettaMall may terminate these terms with 14 days’ written notice. However, immediate or shorter notice termination may occur if:
● Required by law or court order,
● A government authority mandates compliance with anti-money laundering or counter-terrorism financing obligations,
● BettaMall reasonably believes you are engaging in prohibited or illegal activities (e.g., fraud, bribery, corruption, money laundering, sanctions violations),
● We cannot verify your or your business’s identity or other required information, or
● You materially breach these terms or persistently violate any provision.
If you close your BettaMall account, you will no longer be able to sell, access the platform, or retain your feedback and transaction history.
Before closing:
● Pay all fees and selling costs, and ensure your available balance is zero.
● No open bids or pending transactions (payments, returns, disputes, or payouts).
● Cancel all subscriptions.
Notes:
● If your account has active restrictions or doesn’t meet minimum seller performance standards, contact us to close it.
● Closing may take up to 180 days if you had transactions, payments, claims, or disputes in the past 30 days.
● After this period, your account and data will be permanently deleted.
● You can request to reopen your account during this period if it is in good standing.
F.Data deletion after termination
When your data deletion request is accepted, BettaMall will delete all personal data we are legally required to remove, using approved methods such as deletion, anonymization, pseudonymization, or aggregation. You must also clear your browser cache, cookies, and history, and delete the BettaMall app from your devices.
Once your data is deleted and your account closed, we will notify you via your registered email.
After deletion, we retain:
● A record of your request and our response,
● Certain personal data required or allowed by law to:
● Comply with financial and legal obligations,
● Detect and prevent fraud or security issues,
● Exercise freedom of expression and information,
● Defend or pursue legal claims,
● Provide goods or services or perform contracts,
● Resolve outstanding balances,
● Provide tax-related information,
● Inform you of public health issues.
● Retained data is only used for these purposes and will be deleted once no longer needed. BettaMall may contact you after deletion to resolve balances or provide tax information.
IV. Data protection and privacy policy reference
A.Data collection purposes
We process your personal information when necessary to fulfill a contractual obligation or when we or our partners need to use it for legitimate business purposes, such as:
● Preventing risk and fraud
● Responding to questions and providing support
● Helping merchants discover and use apps through our app store
● Providing and improving our products and services
● Generating reports and analytics
● Testing new features or services
● Assisting with marketing, advertising, and communications
We only process personal information for these legitimate interests after carefully assessing potential privacy risks and applying appropriate safeguards—such as transparency about our practices, providing user controls, minimizing data collection and retention, restricting data sharing, and maintaining strong technical protections.
We may also process your personal information with your consent, particularly when no other legal basis applies, when you request that we transfer your data to a third party, when we receive your data from a third party with existing consent, or when required by law (for example, in some marketing activities). You may withdraw your consent at any time by updating your communication preferences, opting out of our communications, or contacting us directly.
Depending on whether you are a merchant, customer, partner, user, or visitor, please refer to the relevant supplemental privacy policy for details about our purposes for processing, categories of recipients, and legal bases for processing your personal data.
B.User privacy rights
Depending on how you use BettaMall, you may have the right to request access, correction, amendment, deletion, data portability, or to restrict or object to certain uses of your personal information. Exercising these rights will not affect the price or quality of service you receive. Please note that some rights apply only in specific circumstances and may be subject to legal limitations.
When BettaMall acts as a data processor or service provider on behalf of BettaMall merchants, you should contact the merchant you interacted with directly. For more information on how merchants collect and use your data when you visit or make purchases from their stores, please review their specific Terms and Privacy Policy. In some cases, we may provide tools or support to help merchants respond to such requests.
If you are a merchant, customer, partner, shop user, website visitor, or another individual with whom BettaMall has a direct relationship, or for whom BettaMall acts as a Data Controller, please submit your data subject request through our Privacy Portal. We may ask you to provide additional documentation to verify your identity and may use third-party services to assist with this process.
C. Data sharing practices
At BettaMall, we value your privacy and handle your personal information responsibly. We do not sell your data to third parties. We only share it when necessary to operate our business, provide services, comply with legal requirements, or with your explicit consent.
● Service Providers: We share data with trusted partners who support our operations—such as payment processors, shipping and logistics providers, marketing and communication services, cloud and IT providers, and customer support platforms. These partners may only use your data to provide their services to BettaMall and must protect it under strict confidentiality agreements.
● Legal and Compliance: We may disclose information if required by law or to:
○ Comply with regulations or lawful requests;
○ Protect the rights, property, or safety of BettaMall, our users, or others;
○ Prevent or investigate fraud, illegal activity, or violations of our Terms.
● Business Partners: When you participate in promotions, collaborations, or loyalty programs, we may share relevant information with our partners to fulfill those activities, ensuring they follow applicable privacy laws.
● Business Transfers: If BettaMall is involved in a merger, acquisition, or sale, your data may be transferred as part of that transaction, in compliance with data protection laws.
● International Transfers: Some service providers may operate outside your country. In such cases, we apply safeguards like Standard Contractual Clauses to ensure your data remains protected.
● Your Control: You can contact us anytime to learn more about how we share your data, withdraw consent, or exercise your data rights.
D. Security measures
At BettaMall, we take the security of your personal information seriously and use appropriate technical and organizational measures to protect it from unauthorized access, disclosure, alteration, or loss.
Technical Safeguards: We use encryption (SSL/TLS), secure hosting, firewalls, access controls, and regular security testing to help keep your data safe.
Organizational Safeguards: Our employees and partners receive data protection training and are bound by confidentiality and internal security policies.
Third-Party Security: When sharing data with trusted service providers (e.g., payment, hosting, or logistics partners), we require them to maintain strong security and comply with privacy laws.
User Responsibility: You can help protect your account by using strong passwords, keeping credentials private, logging out on shared devices, and reporting any unauthorized activity promptly.
E.Incident Response & Retention
If a data breach occurs, we will act quickly to investigate, notify affected parties where required, and prevent recurrence. Personal data is retained only as long as necessary and securely deleted or anonymized when no longer needed.
V. Disclaimer and limitation of liability
A.Disclaimer of Warranties
BettaMall strives to provide accurate and up-to-date information through our website and services. However, we do not guarantee that our site, content, or services will always be error-free, uninterrupted, or completely secure.
All information, products, and services on our website are provided on an “as is” and “as available” basis, without any warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the fullest extent permitted by law, BettaMall disclaims all liability arising from:
Errors, omissions, or inaccuracies in any content;
Technical issues, interruptions, or downtime;
Unauthorized access to or alteration of data;
Any loss or damage resulting from your use of or inability to use our website or services.
B. Limitation of Liability
To the maximum extent permitted by applicable law, BettaMall, its directors, employees, affiliates, agents, and partners shall not be liable for any direct, indirect, incidental, consequential, or punitive damages -including but not limited to loss of profits, data, goodwill, or other intangible losses -arising out of or related to:
Your access to or use of (or inability to access or use) our website or services;
Any conduct or content of third parties on or linked to our platform;
Unauthorized use or disclosure of your personal information beyond our reasonable control;
Any events or circumstances beyond BettaMall’s reasonable control, including force majeure situations (such as internet outages, cyberattacks, or natural disasters).
In all cases, BettaMall’s total liability for any claim under these terms shall not exceed the amount you have paid to us (if any) for the products or services involved in the claim.
C. Third-Party Links and Services
Our website may contain links to third-party websites or services not operated by BettaMall. We are not responsible or liable for the content, privacy practices, or actions of those third parties. We encourage you to review their respective privacy policies before engaging with them.
D. Your Acknowledgment
By using BettaMall’s website and services, you acknowledge and agree that:
You use our platform at your own risk;
You are responsible for ensuring the security of your devices and network;
BettaMall’s liability is limited as set out in this section.
E.Governing Law
This Disclaimer and Limitation of Liability shall be governed by and construed in accordance with the laws applicable in the jurisdiction where BettaMall operates, without regard to conflict-of-law principles.
VI. Service warranty disclaimers
A.Limitation of liability scope
To the maximum extent permitted by law, BettaMall and its affiliates, employees, and partners shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our website, products, or services. Our total liability for any claim shall not exceed the amount you paid for the product or service giving rise to the claim. Certain legal rights may not be waived or limited in some jurisdictions.
B.Force majeure provisions
BettaMall shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, strikes, governmental actions, or internet outages. In such events, BettaMall may suspend or delay its services for the duration of the event without liability. C. User indemnification requirements
